Terms & Conditions

These Terms & Conditions ("Terms") form a binding electronic contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000 between you ("you", "User", or "Subscriber") and the operator of recon ("recon", "we", "us", or "our"). By installing the CLI, creating an account, or using the website at mcprecon.pages.dev, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.

Plain-language summary. recon is a paid developer tool. Your source code never leaves your machine. You pay through Razorpay; refunds follow our Refund Policy. Indian law governs this agreement; disputes are resolved by the competent courts located at the registered place of business of recon in India.

01Definitions

02Eligibility

You must be at least 18 years of age and competent to contract under Section 11 of the Indian Contract Act, 1872. By accepting these Terms you represent that you meet these requirements. If you are accepting on behalf of an organisation, you represent that you are authorised to bind that organisation.

03Account

You are responsible for maintaining the confidentiality of your account credentials, licence key, and CLI tokens. Any activity carried out under your account is your responsibility. You must notify us promptly of any unauthorised use. Sharing a single Subscription across more than the permitted number of repositories or seats is a material breach.

04Licence to use

Subject to your continued compliance with these Terms and payment of the applicable Subscription fees, recon grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the CLI for your internal development purposes. The Service is licensed, not sold. All rights not expressly granted are reserved.

You may not (i) reverse engineer, decompile, or disassemble the binary except to the extent permitted by Section 52 of the Copyright Act, 1957; (ii) remove or alter proprietary notices; (iii) resell, rent, or sublicense access; or (iv) use the Service to build a competing product.

05Subscription & billing

Paid Subscriptions are billed monthly or annually in advance through Razorpay. Indian customers are charged in INR; international customers may be charged in USD. Applicable GST (Goods and Services Tax) is added where required by the CGST Act, 2017. By subscribing you authorise recurring charges at the cadence shown at checkout. You may cancel auto-renewal from the dashboard at any time before the next renewal date; cancellation takes effect at the end of the current billing cycle.

If a payment fails, we may suspend the Subscription. We do not store full card numbers, CVVs, or UPI PINs — payment data is tokenised and processed by Razorpay under RBI guidelines.

06Refunds

Refunds are governed by the Refund Policy, which is incorporated into these Terms by reference. The Refund Policy is consistent with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.

You will not use the Service in a manner that:

08Intellectual property

recon, its logo, the source of the Service, the binary, the documentation, and the website content are protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. We retain all right, title, and interest in the Service. You retain all right, title, and interest in your User Code — we acquire no licence over your User Code.

09Local-first processing

recon is designed so your User Code stays on your machine. The CLI builds the index locally, performs queries locally, and answers your AI agent locally. Account, billing, and licence-validation calls go to our worker over TLS — those calls do not transmit User Code. Optional telemetry is described in the Privacy Policy and may be disabled.

10Third-party services

The Service relies on third-party providers, including but not limited to Razorpay (payments), Cloudflare Pages (hosting), and the providers of any IDE or AI agent you connect. Your use of those services is also governed by their respective terms. We are not liable for outages or breaches of third-party services.

11Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect every symbol or every reference in your codebase.

12Limitation of liability

To the maximum extent permitted by law, the aggregate liability of recon arising out of or relating to the Service in any twelve-month period shall not exceed the fees actually paid by you for the Service in the three (3) months immediately preceding the claim. recon shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under Indian law, including under the Consumer Protection Act, 2019.

13Indemnity

You agree to indemnify and hold harmless recon, its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (i) your breach of these Terms; (ii) your User Code or content you process through the Service; or (iii) your violation of any law or third-party right.

14Termination

Either party may terminate the Subscription at the end of the current billing cycle. We may suspend or terminate your account immediately for material breach, suspected fraud, chargeback abuse, or where required by law. On termination, your licence ends and you must uninstall the CLI; account data is handled per the Privacy Policy.

15Privacy

Our handling of personal data is governed by the Privacy Policy, which complies with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023 as it is brought into force.

16Changes to terms

We may update these Terms from time to time. Material changes will be announced on the website or by email at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

17Governing law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. The Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Sale of Goods Act, 1930 (to the extent applicable), and other enactments of the Parliament of India apply. The Constitution of India, including the right to privacy recognised under Article 21 in Justice K.S. Puttaswamy (Retd.) v. Union of India, (2017) 10 SCC 1, informs our handling of personal data.

18Dispute resolution

The parties shall first attempt to resolve any dispute amicably through good-faith discussion within thirty (30) days of written notice. Failing that, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be the registered place of business of recon in India. The language of arbitration shall be English. Subject to arbitration, the courts at the registered place of business of recon in India shall have exclusive jurisdiction.
